United Kingdom

Telephone: 07440 129574

In these Terms, “CMA”, “we”, “us” and “our” refer to CMA Electronic International PVT LTD. “You” and “your” refer to the business customer placing an order with us.

2. Business Customers

Our website is primarily intended for businesses, wholesalers, retailers, marketplace sellers, e-commerce businesses and dropshipping customers.

By placing a wholesale or dropshipping order, you confirm that you are purchasing products for business or commercial purposes and not primarily for personal or household use.

You are responsible for providing accurate business and delivery information when placing an order.

3. Wholesale Orders

Wholesale prices and trade prices displayed on the website may be subject to minimum order quantities, product quantities, stock availability or other conditions stated on the relevant product page.

We reserve the right to limit quantities or refuse unusually large orders where we reasonably consider that additional arrangements are required.

For larger wholesale orders, we may provide separate quotations. A quotation may contain additional commercial terms that will apply if accepted by you.

4. Dropshipping Orders

We may provide dropshipping services where products are purchased by you and shipped directly to your customer or another delivery address specified by you.

You are responsible for providing:

The correct recipient name;
Complete delivery address;
Postcode;
Telephone number where required by the carrier;
Any delivery instructions required for successful delivery.

We are not responsible for delivery failures resulting from incorrect, incomplete or inaccurate information supplied by you.

Where agreed, we may dispatch orders without including our wholesale invoice or pricing information.

Dropshipping arrangements do not transfer ownership of our products to your customer until the applicable sale and payment arrangements between you and your customer have been completed.

5. Reseller Responsibilities

If you resell our products through Amazon, eBay, Shopify, your own website or another marketplace, you are responsible for complying with the rules and requirements of that marketplace.

You are responsible for ensuring that your product listings accurately describe the products.

You must not make claims about our products that are false, misleading or unsupported by the product information supplied by us.

You are also responsible for complying with applicable laws relating to your own sales, including consumer, tax, advertising, distance-selling and marketplace requirements applicable to your business.

6. Product Information

We make reasonable efforts to ensure that product descriptions, photographs, specifications and other information on our website are accurate.

Specifications may change where reasonably necessary, including changes to packaging, components or manufacturing processes, provided that the product remains materially consistent with the description and applicable requirements.

Where exact specifications are critical to your business, you should confirm them with us before placing a large order.

7. Prices and VAT

All prices displayed on the website will be stated in pounds sterling (£), unless otherwise indicated.

Where applicable, VAT will be charged at the legally applicable rate.

Business customers are responsible for providing accurate VAT and business information where required.

Prices may change without notice before an order is accepted.

Once an order has been accepted, the agreed price for that order will not normally be changed unless there has been an obvious pricing error or another circumstance permitting cancellation under these Terms.

8. Orders and Acceptance

When you place an order, you are making an offer to purchase the products selected by you.

An automated order confirmation acknowledges receipt of your order but does not necessarily constitute acceptance.

We may accept or reject an order at our discretion for legitimate commercial reasons, including:

Product unavailability;
Pricing errors;
Payment problems;
Suspected fraud;
Credit or account issues;
Inability to fulfil the requested delivery;
Unusually large or commercially impractical orders.

A contract is formed when we confirm acceptance of your order or dispatch the products, whichever occurs first.

9. Payment

Orders must be paid using one of the payment methods available at checkout unless we have agreed credit or other payment terms with you in writing.

We may require payment in full before dispatch.

Where credit terms have been agreed, payment must be made within the agreed period.

We reserve the right to suspend further orders where an account has overdue payments.

10. Stock Availability

All orders are subject to stock availability.

Where a product becomes unavailable after an order is placed, we will contact you where reasonably possible.

We may offer an alternative product, partial fulfilment or cancellation and refund of the unavailable item.

11. Delivery

We will provide available delivery options and applicable delivery charges during the ordering process.

Delivery dates and times are estimates unless a specific delivery date has been expressly agreed in writing.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, strikes, severe weather, customs delays or other external events.

For dropshipping orders, you are responsible for ensuring that your customer is available to receive the goods and that the delivery information supplied to us is correct.

12. Delivery Inspection

You should inspect products promptly after delivery.

If goods are visibly damaged in transit, you should notify us as soon as reasonably possible and provide photographs and relevant delivery information.

Where a carrier requires evidence of damage, you should retain the packaging and products until the matter has been investigated.

13. Returns – Business Customers

For genuine B2B/wholesale purchases, returns are subject to these Terms and any separate agreement made between us.

Unless otherwise agreed in writing, unwanted or incorrectly ordered goods are not automatically eligible for return.

We may, at our discretion, accept a return of unwanted stock subject to prior written approval.

Approved returns may be subject to:

Prior authorisation;
Return postage being paid by the customer;
Products being unused and resalable;
Original packaging being intact where reasonably applicable;
A reasonable handling or restocking charge where agreed in advance.

You must not send goods back without receiving return instructions from us.

14. Faulty, Damaged or Incorrect Goods

If you receive goods that are faulty, damaged or materially different from the products ordered, contact us as soon as reasonably possible.

We may request photographs, videos, batch information, order details or other evidence to help investigate the issue.

Where a product is confirmed to be faulty or incorrectly supplied, we may, as appropriate:

Replace the product;
Repair the product where applicable;
Provide a refund or credit;
Provide another appropriate remedy.

This section does not limit any mandatory legal rights that apply to a particular transaction.

15. Electrical and Lighting Products

Our electrical and lighting products must be used in accordance with the manufacturer's instructions and product specifications.

Where professional installation is required or recommended, installation should be performed by a suitably qualified person.

We are not responsible for damage resulting from:

Incorrect installation;
Improper wiring;
Misuse;
Modification;
Use outside the stated voltage, wattage or other specifications;
Failure to follow safety instructions.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Dropshipping and Customer Complaints

Where you use our dropshipping service, you remain responsible for managing your relationship with your own customer.

If your customer reports a problem with a product supplied by us, you should contact us with the relevant order information.

We will reasonably assist you in investigating product or delivery issues.

We do not become the retailer or marketplace seller simply because we fulfil a dropshipping order on your behalf, unless expressly agreed otherwise in writing.

17. Marketplace and Platform Compliance

If you sell our products on Amazon, eBay, Shopify, Etsy or another marketplace, you are responsible for complying with that platform's rules.

You must not use our company identity, address, trademarks or other business information to represent that you are CMA Electronic International PVT LTD unless we have expressly authorised you to do so.

You must not make unauthorised claims regarding certification, compliance, performance or product characteristics.

18. Product Images and Marketing Material

Where we provide product photographs, descriptions or other marketing material for reseller use, you may use those materials solely for promoting and selling the relevant products, subject to any instructions we provide.

We may withdraw permission to use particular materials where reasonably necessary.

You must not alter product information in a way that makes it inaccurate or misleading.

19. Intellectual Property

All trademarks, logos, photographs, product descriptions, graphics and other intellectual property belonging to CMA or its licensors remain the property of their respective owners.

No ownership rights are transferred to you by purchasing products from us.

20. Cancellation by CMA

We may cancel or suspend an order where reasonably necessary, including where:

Products are unavailable;
There is an obvious pricing or description error;
Payment has not been received;
We suspect fraudulent activity;
The requested order cannot reasonably be fulfilled;
You have materially breached these Terms.

Where we cancel an order after receiving payment, we will refund the amount paid for the cancelled products, subject to any lawful deductions.

21. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

Subject to the above, we will not be liable for indirect or consequential losses, loss of profit, loss of business, loss of goodwill or loss of anticipated savings arising from a business customer's use or resale of our products, except where such liability cannot legally be excluded.

22. Force Majeure

We will not be responsible for delay or failure caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, serious transport disruption, strikes, supply-chain disruption, government restrictions, war, civil disturbance, major infrastructure failure or other events outside our reasonable control.

23. Data Protection

We process personal information in accordance with our Privacy Policy and applicable data-protection legislation.

Where you provide personal information belonging to your customers for the purpose of dropshipping, you are responsible for ensuring that you have the appropriate legal basis and permissions to provide that information to us.

We will use such information only as reasonably necessary to fulfil the relevant order and provide the agreed service, subject to our Privacy Policy and applicable law.

24. Complaints

If you have a complaint regarding an order, product or service, please contact us using the contact details provided on our website.

We will aim to investigate complaints fairly and respond within a reasonable period.

25. Changes to These Terms

We may update these Terms from time to time.

The Terms applying to an order will normally be the version in force when the order is accepted, unless otherwise agreed in writing.

26. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from these Terms, subject to any mandatory legal rights or jurisdictional rules that apply.

27. Statutory Rights

Nothing in these Terms is intended to exclude or restrict any statutory rights that cannot legally be excluded.

Where a customer is legally a consumer rather than a business customer, applicable UK consumer protection legislation will continue to apply.

These Terms should therefore be read together with any mandatory rights applicable to the particular transaction.
